corporate finance

Our Corporate Finance Group understands the complexities of capital markets and has expertise in transactions involving a multitude of industries, including mining, financial services, telecommunications, media, energy services, biotechnology, biometrics, consumer packaging, manufacturing, forestry, transportation, information technology, fuel cell technology and food services. We advise on all aspects of Canadian, U.S. and international equity and debt offerings, both as public offerings and private placements, with particular expertise in the tax issues affecting structuring of transactions. In addition, we assist with the development and implementation of derivative products, securitizations, structured instruments and public financing alternatives such as the sale of assets.

Our practitioners also have a thorough knowledge of the regulatory environments applicable to capital markets. We are familiar with the listing process and requirements of the TSX, the TSXV, as well as the New York, NYSE Amex Equities and Nasdaq exchanges and other capital markets in Europe, Latin America and Asia. Such broadly based capital markets involvement gives us comprehensive experience with transactional regulatory requirements, including filing and clearance of offering documents with Canadian Securities Authorities and the U.S. Securities and Exchange Commission.
