Professional Experience Stephen is a partner practicing business law with an emphasis on mergers and acquisitions, other strategic re-organizations and corporate finance transactions, both public and private. Stephen provides advice on all aspects of the planning and execution of such transactions. Stephen also provides ongoing advice on matters of corporate governance and organization to boards of directors and shareholders.

In addition, Stephen leads the firm's Aviation Group which provides advice on all aspects of commercial and private aircraft and engine finance matters, acting for equipment manufacturers, financial institutions, aircraft lessors, engine lessors, investors and aircraft operators.
Representative Transactions

  • Advising the foreign purchaser of Canadian steel mill operations (2009)
  • Advising a real estate investment bank in connection with a series of real estate acquisition transactions (2006-2008)
  • Advising the vendor shareholders of Decode Entertainment Inc. on the sale of Decode to DHX Media Inc. and subsequent initial public offering of DHX on TSX and AIM (2006)
  • Advising the vendor shareholders of Yolles Partnership, a leading structural engineering company, on the sale of Yolles to the Halcrow Group (2005)
  • Advising the independent committee of the board of directors of Dundee Realty Corporation, a Canadian public company, with respect to a "going-private transaction" including the creation of Dundee REIT, a publicly-traded real estate investment trust (2003)
  • Acting for SMTC Corporation in connection with its simultaneous initial public offerings in Canada and the U.S. (2000)
  • Advising the St. Lawrence Seaway Management Corporation in connection with the commercialization of the St. Lawrence Seaway (1998)
  • Acting for CF Group Inc. in connection with an exempt take-over bid by NFO Worldwide Inc. (1998)
  • Advising Owens Corning in connection with the acquisition of OC Celfortec Inc. (1996)
  • Implementing a series of strategic divestitures for Alcan Aluminium Limited (1994 – 1995)
  • Acting on numerous acquisitions, divestitures and corporate finance matters for private company clients
