Nika Robinson has a varied corporate practice with a focus on regulatory matters in the areas of environmental, aboriginal, immigration and insurance law. Her substantial transactional experience plays a key role in her counsel to clients concerning these issues. Nika regularly provides due diligence guidance in a variety of mergers and acquisitions, giving her practical insight on the interaction between regulatory compliance and business requirements.

Nika has a strong working knowledge of immigration law and the related human resource issues. She provides business and individual clients with advice on business visitor exemptions, exempt employment categories, HRSD labour market opinions, temporary work permits, work transfers under NAFTA and immigration applications. Clients in the technology industry, and other industry segments with a global focus, benefit from her knowledge of the complex interaction between immigration and employment regulations.

In her environmental practice, Nika advises clients on the federal and provincial environmental review process as well as their concerns involving air and water pollution and land use regulation. She is knowledgeable about hazardous waste disposal and cleanup issues, including responsibility for remediation costs of contaminated sites. Resource companies, commercial real estate brokers and purchasers of potentially contaminated property, among other business segments, can benefit from Nika's recommendations.

In her aboriginal law practice, Nika assists industry clients to assess and respond to aboriginal claims involving forestry and mining properties.  She has extensive experience in negotiating impact benefit agreements (IBA's) with First Nations.

With years of experience in insurance industry transactions and regulation, Nika licenses insurance companies and brokerages across Canada and advises insurance companies and brokers. Her familiarity with the OSFI supervisory framework, and with accounting and actuarial issues, adds additional dimensions to her insurance work. Nika advises clients with respect to new incorporations, director responsibilities and liability, shareholder and partnership agreements, and all aspects of doing business in Canada (including extra-provincial licensing, tax implications, business registrations, tax issues, import concerns, and payroll matters). She has also developed excellent working relationships with federal and provincial financial institution regulators.

  • Sale of the business of AXA Re to Paris Re - Canadian counsel to AXA Re.
  • Acquisition of the Citadel General Assurance Company by AXA Canada Inc.
  • Withdrawal of Canadian Branch of foreign life insurance company.
  • Acquisition of Alliances Assurance Inc. by AXA Canada Inc.
  • Action by Simpsons Pensioners against the Hudson Bay Company - Counsel to Members of the HBC and HBC Executive Plans.
Other Transactions
  • Acted for the special committee of the board of directors of Gemcom Software International Inc. in its acquisition by a vehicle indirectly owned by affiliates of JMI Equity Fund VI, L.P., Carlyle Venture Partners III, L.P. and Pala Investments Holdings Limited for approximately $190 million.
  • Joint Venture between BBM Canada and Nielsen Media Research Limited to form BBM Nielsen Media Research Inc.
  • Option and Joint Venture projects for TSX-V listed mining company with respect to Canadian and international properties.
