Professional Experience

Nicholas Scheib is a partner in McMillan LLP's corporate restructuring and financial services groups, and works in the Montreal office.

Nick acts as counsel to different stakeholders in restructuring and financing matters, including banks, asset-based lenders, other financial institutions, bondholders and unsecured creditors in relation to bankrupt and restructuring companies. He also has significant experience advising trustees and other Court-appointed officers, corporate directors, and purchasers of distressed assets and creditors enforcing their secured rights.

In his role as an advisor on financing transactions, Nick has represented borrowers, lenders and syndicate agents.

Nick is very active in the Turnaround Management Association (TMA), as a member of the Board of the Montreal chapter as well as a principal coordinator of the NextGen committee.

As part of a task force of the Canadian Association of Insolvency and Restructuring Professionals (CAIRP), Nick was instrumental in developing and drafting CAIRP's Standards of Professional Practice in respect of the engagement of liquidators and appraisers.

Nick is a supporter of the Mile End Legal Clinic, where he does pro bono work.

Representative Transactions

Over the years, Nick has been involved in numerous high profile restructuring and financing matters, including the following matters of note:

  • representing the agent coordinating the federal and Ontario governments' loans to General Motors Canada, as part of the largest restructuring effort in Canadian history;
  • advising the pre-petition bank syndicate to Quebecor World Inc.;
  • representing a group of institutional bondholders in challenging the leveraged buyout of BCE, the largest LBO ever attempted in Canadian corporate history, prior to its demise;
  • advising the chief restructuring officer on the restructuring and sales of assets of ROL Manufacturing, an auto parts company, in cross-border insolvency proceedings; 
  • acting for a French bank and the high yield products group of a US investment bank in their distressed debt sale and purchase transactions in the restructuring of Air Canada;
  • representing the independent directors of Ivaco, a multinational steel company, during its restructuring, as well as all of the directors and officers during the D&O claims process; 
  • Assisting Max Mendelsohn in his role as an advisor to the Canadian Government in relation to the most recent legislative reform of Canada's insolvency statutes.
