IP due diligence

Frequently a significant proportion of a corporation's value is attributable to its intellectual property portfolio. In transactions in which all or part of a businesses is being sold, or where the corporation is issuing securities, proper due diligence is essential. We have provided support in many such transactions, ensuring that the appropriate measures have been employed to ensure that the intellectual property which is the subject of the transaction is properly protected. We have had occasion to assist purchasers in rectifying problems with portfolios of intellectual property being acquired, and to provide advice which ensured that the purchaser did not pay for inadequately protected intellectual property.
