Professional Activities
Hartley Lefton joined the firm's Toronto office in 2007. He is a member of the firm's Business Law Group and a member of the Insurance and Capital Markets subgroups.
Hartley has a wide-ranging general corporate practice. He provides advice to clients with respect to their ongoing operations, mergers and acquisitions (M&A), new incorporations, director responsibilities and liability, shareholder and partnership agreements, and all aspects of doing business in Canada (including extra-provincial licensing, business registrations, and tax issues). He has also developed excellent working relationships with federal and provincial financial institution regulators.
Hartley has particular experience in regulatory matters in insurance law. His transactional experience plays a key role in his counsel to clients which gives him practical insight on the interaction between regulatory compliance and business requirements. Hartley's practice includes licensing insurance companies and brokerages across Canada and advising insurance companies and brokers on ongoing compliance issues such as related party transactions. His familiarity with the Office of the Superintendent of Financial Institutions ("OSFI") supervisory framework, and with accounting and actuarial issues, adds additional dimensions to his insurance work.
Since 2007, Hartley has represented the firm in a joint venture with Ethidex Risk Management & Compliance solutions. He is responsible for overseeing content and legislative updates for this insurance compliance software product based on the OSFI Supervisory Framework and provincial insurance legislation. He synthesizes legislation and guidelines into compliance and risk management requirements by business function including accounting and actuarial standards.
The Law Society of Upper Canada selected Hartley to serve as a tutor to students writing the Ontario Bar examination in the area of corporate law. Hartley has served as Associate Chair of the firm's United Way campaign since 2010.
