Professional Activities

Graham Matthews is a partner in the firm's Vancouver office. His practice focuses on real estate and secured and unsecured loan transactions.

Graham's real estate practice has involved providing advice to purchasers, sellers, lessees and lessors in commercial real estate purchase and leasing transactions.  Graham has also been providing legal advice on a project to reform the land registration system applicable to aboriginal lands in Canada. 

Graham's lending work involves advising both institutional and private lenders and borrowers in the financing of a broad range of businesses involving real estate, maritime assets, aboriginal lands, farms and agricultural products, aircraft and other mobile equipment, forest, mining and mineral assets and public-private partnerships (P3s).  These financings have included syndications and participation arrangements amongst lending institutions. Graham also serves as counsel to an insurance company in providing secured deposit protection insurance contracts' under the Real Estate Development and Marketing Act.

Representative Transactions

Some examples of representative work Graham has been involved in include:

  • Construction debt financing of three successful power projects under BC Hydro's Open Call for Power and Clean Power Call.
  • The purchase of a Vancouver office tower by way of court-ordered process.
  • Financing of a number of major greenhouse agricultural operations.
  • The purchase of a significant downtown Vancouver building through a sophisticated offshore trust structure.
  • Drafting legal research papers and providing ongoing legal advice in respect of a working project to revise the land registration system applicable to aboriginal lands in Canada.
  • Advising on a major financing of a commercial mining venture with significant aboriginal consultation and accommodation and land claims issues.
  • Great Canadian Gaming Corp. to secure a C$200 million revolving credit facility and a US$170 million term loan and to issue US$170 million senior subordinated notes for gross proceeds of C$600 million.
  • Sierra Systems Group Inc. in its acquisition by Golden Gate Capital, January 2007.
  • Great Canadian Gaming Corp. to secure $450 million in financing and redeem Series A and Series B Secured Notes, September 2006.
  • West Fraser Timber Co. on debt financing transactions.
  • Canadian Life Insurance Companies in commercial mortgage and mortgage bond financings.
  • Farm Credit Canada in connection with loans to farming operations with complex ownership structures.
