Professional Experience Dean is a partner in the firm's Corporate and Commercial Group. His practice focuses on representing clients in negotiated transactions - primarily mergers, acquisitions and reorganizations. Dean also advises clients on a variety of commercial transactions and corporate law matters. He has represented clients in a number of sectors including banking, insurance, manufacturing, health-related charities, home products, distribution, not-for-profit, investment, food services, gaming, software, human resources and advertising. Part of Dean's practice also includes advising French public companies on obtaining Canadian securities relief for the implementation of their global employee share offerings.

  • Represented insurance services provider in several acquisitions, including acquisition of rehabilitation management company, acquisition of a managing general agent, acquisition of private investigation company and acquisition of two insurance claims adjusting firms (2011)
  • Represented U.S. material handling company in substantial investment in Canadian distributor and acquisition of Canadian material handling business from Canadian vehicle manufacturer (2011)
  • Represented acquiror in merger of two hospitals in Northern Ontario (2010)
  • Represented acquiror of tooling manufacturing company based in Southern Ontario (2010)
  • Represented Swedish multinational in acquisition of Canadian automatic door manufacturer (2010)
  • Represented major Canadian bank in loyalty points conversion program with U.S. airline (2010)
  • Represented major Canadian bank in credit card co-brand with Canadian airline (2010)  
  • Represented U.S. paint company in strategic acquisition of Canadian manufacturer of paint-coating applications (2009)  
  • Member of firm's corporate team that represented secured lenders in acquisition of the National Post newspaper (2009)  
  • Represented Ontario government agency in divestiture of operations by the Ministry of Health and Long-Term Care (2009)

  • Represented Canadian hot tub and spa manufacturer in strategic acquisition of foreign retailer (2008) as well as acquisition of hot tub and spa business of British Columbia company (2008)  
  • Represented US manufacturer of small passenger jets in sale of some of its portfolio (2008) as well in with restructuring of leasing arrangements with certain Canadian operators (2007 & 2008)  
  • Represented private equity firm in tax-driven acquisitions of holding companies of clinical research corporations and nursing home operator (2007)  
  • Acted for U.S. home products company in divestiture of Ontario based vinyl rainware and railing products business unit (2006)
