Professional Activities

  • Partner in the firm's Vancouver office until 2008; presently Associate Counsel.
  • Broad-based corporate and commercial practice.
  • Experienced in asset and share purchase transactions, corporate finance particularly for borrowers.
  • Involved in private and public Canadian and U.S. debt financing including the issuance of convertible securities.
  • Considerable experience in the acquisition and financing of real property.
  • Involved in the review and drafting of construction contracts in the real estate development and mining industries and in construction disputes.
  • Has represented a large Canadian retailer in its acquisition and leasing of new sites and the disposition of redundant properties.
  • Involved in representing the liquidator and insurers in liquidations of a number of trust companies and banks.
  • Experience in licensing and product joint ventures in Canada and internationally.
  • Involved in the structure, acquisition and subsequent disposition of the then largest ongoing urban land development in British Columbia.

Representative Transactions

David has acted on behalf of many clients, including the following representative transactions:

  • West Fraser Timber Co. Ltd in its acquisition of U.S. lumber business for US$325 million, March 2007.
  • Great Canadian Gaming Corp. to secure a C$200 million revolving credit facility and a US$170 million term loan and to issue US$170 million senior subordinated notes for gross proceeds of C$600 million, February 2007.
  • Starcore International Ventures Ltd. in its acquisition of a San Martin Mine for US$26 million, January 2007.
  • Great Canadian Gaming Corp. to secure $450 million in financing and redeem Series A and Series B Secured Notes, September 2006.
