- Chair, National Mining Group
Darrell Podowski is a partner and Chair of the firm's Mining Group. His business and securities law practice concentrates on the mining and resource industries, but acts for client in other industries as well.
Previously, Darrell practiced law in Bermuda and Vancouver, Canada. He was also Corporate Counsel with Teck Cominco Limited. Prior to that, Darrell was an oil and gas exploration geophysicist with Dome Petroleum Limited and Amoco Canada Petroleum Corporation.
This cross-section of experience has greatly enhanced Darrell's mining and resource practice. He advises mining and other resource companies on all their resource, corporate finance, and mergers & acquisitions law requirements in Canada and internationally, with a focus on South America. He has particular expertise in negotiating international earn-in and farm out transactions, property option agreements, royalty agreements, purchase and sale transactions, strategic alliances, off-take and concentrate sale agreements, joint venture transactions, and joint operating agreements. Darrell advises his clients on initial public offerings, private placements, public equity and debt financings, mergers and acquisitions, stock exchange listings and corporate governance matters. His clients include major international mining companies as well as mid-cap and junior issuers in various industries located in Canada and internationally.

Representative Transactions
Darrell has acted for numerous resource companies and underwriters advising them on their resource law and securities law requirements. Some examples of his recent work include:
- Acted for Teck Resources Limited in the completion of the sale of 100% of the jointly held Agi Dagi and Kirazli gold projects located in Turkey to Alamos Gold Inc. for US$90 million.
- Acted for Antofagasta Minerals S.A. of Santiago, Chile on numerous option and joint venture earn-ins and strategic alliances for copper projects worldwide, and in the US$227 million joint venture transaction with Duluth Metals Limited in connection with a copper-nickel PGM project in Minnesota, USA.
- Acted for Teck Cominco Limited in the US$110 million sale to Kinross Gold Corporation of its 60% interest in the Lobo Marte copper/gold project in Chile.
- Acted for Terrane Metals Corp. in the conversion of 240 million preferred shares held by Goldcorp Inc. into a maximum direct 60% joint venture interest in the Mt. Milligan Copper-Gold Project located in British Columbia.
- Acted for Batero Gold Corp. in its qualifying transaction and concurrent financing of the Quinchia gold properties in Colombia.
