Professional Activities

Craig Manuel has been a partner in the Business Law and Securities & Corporate Finance Groups in the firm's Toronto office since 2006. His practice is focused on business law with expertise with mergers and acquisitions, divestitures, financings and corporate re-organizations.  

Craig has assisted clients on significant asset and share purchase/divestiture transactions in a variety of industries both domestically and internationally. His M&A experience ranges from representing small, closely held private companies to public companies.  Craig has also assisted clients in numerous complex corporate re-organizations including "butterfly" and other tax planning transactions.

In addition to his transactional experience, Craig has broad experience in structuring, negotiating and drafting a wide variety of commercial agreements, including master services agreements, joint venture agreements and consulting agreements.

Representative Transactions

  • Acted for a public company in its acquisition of a patent portfolio and related assets
  • Acted for an international oil and gas exploration and production company in connection with the restructuring of its corporate group
  • Acted for a leading business outsourcing organization in its proposed sale by way of auction
  • Acted for an employee pension plan in connection with numerous investments in Canadian and international alternative investment funds
  • Acted for a public mining company in its purchase of a claim block from a public company Vendor and the negotiation of a joint venture relationship regarding a second block of claims
  • Acted for the shareholders of a privately held janitorial, facility management and building maintenance company in connection with the sale of the company and a complex pre-closing reorganization transaction
  • Acted for Detour Gold Corporation in a US$500 million private placement financing of convertible notes
  • Acted for Detour Gold Corporation in C$65.2 million bought deal private placement in February 2008
  • Acted as Canadian counsel to Doosan Infracore Co., Ltd. in connection with its US$4.9 billion global acquisition of Ingersoll-Rand Company Ltd's Bobcat, Utility Equipment and Attachments business
  • Acted for Resolve in it's acquisition of EDULINX Canada Corporation, a leading provider of student loan services from Nelnet, Inc. in May 2007
  • Acted for Detour Gold Corporation in its acquisition of assets from Pelangio Mines Inc. and initial public offering in January 2007
  • Acted for Morris & Mackenzie Inc. in it's merger with Dale-Parizeau LM Inc. in December 2006 to create Quebec's largest independent and privately owned insurance broker writing over C$200 million of premium with 400 staff, and the subsequent sale of Morris & Mackenzie Inc.'s commercial insurance brokerage business to Hunter Keilty Muntz & Beatty Limited
  • Acted for Drive Products Income Fund on its initial public offering and conversion to an income trust in September 2006
  • Acted for CCL Industries Inc., a world leader in developing and providing specialty packaging and labeling solutions for the consumer products industry, in the sale of its North American CCL Custom Manufacturing Division to KCP Income fund for a purchase price of approximately US$215 million in May 2005
  • Acted for Speedware Corporation Inc. in it's acquisition by Activant Solutions Inc. for C$143 million in March 2005
