Professional Experience
Chris is a senior corporate lawyer whose practice focuses on mergers and acquisitions, private equity investments, joint ventures and complex business transactions. He also advises on corporate governance, regulatory and general commercial matters and assists clients with their strategic and planning needs.
Chris has broad experience in various sectors, including the financial institutions, energy, consumer products, pharmaceuticals and infrastructure sectors. He represents a number of public and private corporations, both domestic and foreign, in connection with their investments and business activities in Canada.
Representative Transactions
- Lead counsel on numerous private equity transactions involving entities such as Kilmer Capital Fund, OMERS Capital Partners, Ontario Teachers' Pension Plan Board, Perseis Partners and Connell Limited Partnership, among others
- Member of the firm's Energy Group and advisor to distributors, generators, refiners, district energy providers and others in the energy sector on commercial transactions, mergers and acquisitions and joint ventures
- Public/private infrastructure transactions, including the transfer and financing of water and wastewater treatment plants and collection systems and the development of municipal sports facilities
- Lead counsel on a number of significant acquisitions and divestitures in the insurance industry, including the purchase by Royal & SunAlliance of of GCAN Insurance Company, Canadian Northern Shield and Kemper's Canadian insurance business; the sale of Seaboard Life Insurance Company; and the purchase by RBC Insurance of Westbury Life Insurance Company
- Leading transaction teams on reorganizations, asset deals and share deals involving companies in the pharmaceutical, consumer products, forestry, funeral and cemetery and automotive sectors
