Adriana Rudensky practises business law with an emphasis on franchising and distribution. Domestic and international businesses benefit from her significant experience in negotiated transactions, including mergers and acquisitions and corporate reorganizations. She also prepares and negotiates complex commercial agreements and other corporate documents.

In addition to general corporate and commercial advice, Adriana provides counsel and representation to clients across numerous industries on matters relating to franchise and distribution, including regulatory and disclosure compliance, and the drafting and negotiation of franchise agreements.

  • Acts on an on-going basis for a number of Canada-based and foreign manufacturers, franchisors and distributors
  • Preparing franchise agreements and disclosure documents for franchisors in various sectors including restaurants, fuel distribution, automotive, motorcycles, and pet services.
  • Negotiating franchise agreements
  • Competitive Foods Canada, represented Competitive Foods in acquired shares of SIR Corp. (owner of Jack Astor’s and Alice Fazooli’s) (2015)
  • Skyway Canada/PERI, represented Skyway in acquisition of all the outstanding shares of PERI Scaffolding Services Inc. a subsidiary of PERI GmbH (2015) and representation of Skyway in refinancing
  • Enviroshake Inc., represented Enviroshake Inc. in sale of its assets to Canadian subsidiary of Headwaters Inc. (NYSE:HW) (2015)
